Please read these terms carefully before using MineDSS. By accessing our platform or engaging our services, you agree to be bound by these terms.

1. Definitions and Interpretation

In these Terms of Service, the following definitions apply:

"QuestFeed", "we", "us", "our"

Means QuestFeed Pty Ltd (ABN 58 632 013 855), an Australian Private Company registered in Queensland. MineDSS is a product name and brand of QuestFeed Pty Ltd — it is not a separately registered business or trademark. All contractual obligations under these Terms are between the User and QuestFeed Pty Ltd.

"Platform"

Means the MineDSS application at app.minedss.com, the website at www.minedss.com, and all associated APIs, infrastructure, and services.

"Services"

Means all mineral prospectivity services provided through the Platform or under an Engagement, including prospectivity mapping, ranked drill-target generation, the mineBAG analogue/reasoning engine, Custom ML models, evidence and analogue-support analysis, and reports.

"User", "you", "your"

Means any individual or entity accessing or using the Platform, Services, or Outputs, whether on a free demo, a paid account, or a scoped Engagement.

"Output", "Report"

Means any analysis produced by the Services for an area of interest, including a prospectivity map, ranked drill targets, the evidence and reasoning behind each target, the analogue-support / trust flags, a prioritised drilling shortlist, and any report compiling them.

"Engagement", "Pilot"

Means a scoped piece of work for a defined area of interest and commodity, quoted in advance and delivered by us — for example a pilot run on your ground or a Custom ML model trained for you.

"Client Data"

Means any data you provide to us or upload to the Platform — for example assay results, drillhole logs, sample data, tenement or area-of-interest boundaries, and your own geoscience datasets.

2. About MineDSS

What We Provide

AI-powered mineral prospectivity mapping across Australia, the USA and Canada, built on public geoscience data
Ranked drill targets for a defined area of interest and commodity
The evidence behind every target — host rock, geophysics, geochemistry and alteration
A plain-language reasoning chain per target via the mineBAG analogue engine
An honest analogue-support / trust flag on every target
A prioritised drilling shortlist and a handover-ready report
Custom ML models trained on your ground that you keep
Held-out, hidden-deposit validation reported region by region

What We Do NOT Provide

A mineral resource or ore reserve estimate (JORC Code or NI 43-101)
A discovery claim, or any guarantee that mineralisation is present or economic
Drilling, investment, financial, or geological advice you should rely on without your own experts
A substitute for ground-truthing, field work, or a qualified geologist
A statement of fact about what is in the ground — Outputs rank prospectivity and show the evidence
Any guarantee of exploration success, approval, or specific commercial outcomes

3. Acceptance of Terms

By accessing or using the Platform, or by engaging our Services, you acknowledge that you:

  • Have read, understood, and agree to be bound by these Terms of Service
  • Have read and agree to our Privacy Policy
  • Are at least 18 years of age or have legal authority to enter these Terms on behalf of an organisation
  • Will use the Platform and Outputs only for lawful purposes and in accordance with these Terms
  • Have the authority to bind the organisation you represent (if applicable)

Changes to Terms: We may modify these Terms at any time. Material changes will be communicated via email to registered users. Your continued use of the Platform or Services after changes constitutes acceptance of the modified Terms.

4. Authorised Use & Prohibited Conduct

You must NOT:

  • Attempt to gain unauthorised access to the Platform, its infrastructure, or other users' data
  • Use the Platform to facilitate fraud or unauthorised activities
  • Reverse engineer, decompile, or extract our models, scoring algorithms, methodology, or proprietary datasets
  • Use automated tools to scrape, crawl, or extract data from the Platform beyond normal API usage
  • Resell, sublicense, or redistribute our Services or Outputs without written authorisation
  • Misrepresent MineDSS Outputs as a JORC Code or NI 43-101 estimate, as a discovery, or as a statement of fact about what is in the ground
  • Use the Platform or Outputs in violation of any applicable local, state, national, or international law

5. Commercial Terms, Engagements & Payment

MineDSS is offered both as scoped Engagements (such as a pilot run on your ground or a Custom ML model) and through accounts on the Platform. The terms below apply according to how you use the Services.

Engagements & Pilots

Engagements are scoped to a defined area of interest and commodity and quoted in advance, so you know the cost before we run anything. Unless your written quote or statement of work says otherwise, fees are invoiced on acceptance of the quote and are payable within the period stated on the invoice. The specific scope, deliverables, timing, and fees for an Engagement are governed by the applicable quote or statement of work, which forms part of these Terms for that Engagement.

Accounts & Subscriptions

Where access to the Platform is offered on a paid account, subscription, or per-run basis, fees are billed via Stripe. All prices are in Australian Dollars (AUD) and exclude GST unless otherwise stated. For recurring plans, you authorise us to charge your nominated payment method on a recurring basis until you cancel. You may cancel a subscription at any time through your account settings or the Stripe customer portal; cancellation takes effect at the end of the current billing period, and you retain access until then.

Free Demo

Parts of the Platform may be made available as a free, no-login demo using sample runs. The demo is provided for evaluation only, on an "as is" basis, and may be changed or withdrawn at any time.

Refunds

Fees for Engagements, subscriptions, and per-run purchases are paid in advance and are non-refundable for change of mind or simply because they are unused, and we do not provide pro-rata refunds for the remainder of a billing period on cancellation. However, nothing in this clause limits your rights under the Australian Consumer Law — where you are entitled to a remedy (including a refund) for a failure to meet a consumer guarantee, that remedy applies. If we suspend or terminate your access other than for your breach or misconduct, we will refund or credit the unused portion of any prepaid fees.

Price Changes

We may change subscription prices or per-run fees with 30 days' advance notice to registered users. Changes take effect at the start of your next billing period for subscriptions, or at the time of purchase for per-run fees. Engagement fees are fixed by the applicable quote. If you do not agree to a price change, you may cancel before it takes effect.

Taxes & Failed Payments

You are responsible for any applicable taxes, duties, or levies (other than taxes on our net income); where GST or an equivalent tax applies, it will be added to the listed price and shown on your invoice. If a payment fails, we may suspend or downgrade access to paid features until payment is received. You remain liable for unpaid fees, and repeated failure to pay may result in termination.

6. Output Accuracy and Limitations

Accuracy Notice

MineDSS ranks prospectivity and shows the evidence behind every target. Outputs are decision-support information to focus exploration — they are not a statement of fact, a discovery claim, a mineral resource or ore reserve estimate (JORC Code / NI 43-101), or drilling, investment, or geological advice. Always apply your own technical judgement and qualified experts before committing capital to a drilling program.

Our Outputs are subject to the following limitations:

  • — Outputs are based on the public and supplied datasets currently loaded in our system; source data may have been amended, superseded, or extended after our last update
  • — Prospectivity scores and rankings are probabilistic and should be interpreted as guidance, not certainty that mineralisation is present, economic, or absent
  • — Validation figures describe held-out predictive skill on known deposits the model never saw; they are reported region by region and must not be read as a discovery claim or as the measured performance of any specific area of interest
  • — What works for one rock type and region will not always transfer to another; where the model is extrapolating beyond ground it has seen, the analogue-support flag says so rather than implying confidence it does not have
  • — Coverage, resolution, and the commodities proven vary by region; an unproven region is flagged rather than scored with false precision
  • — Outputs do not replace field validation, sampling, or a qualified geologist's assessment

7. Intellectual Property & Your Data

The Platform and its original content, features, and functionality are owned by QuestFeed Pty Ltd and protected by international intellectual property laws. This includes:

  • — The MineDSS name, logo, and branding
  • — Platform design, layout, and user interface
  • — Our prospectivity methodology, data structures, scoring algorithms, and the mineBAG analogue engine
  • — Our trained models, feature engineering, and validation framework
  • — Report formats, analogue-support frameworks, and analysis methodology

Output Licence

Outputs generated by MineDSS are licensed to you for your internal business purposes. You may share Outputs with your team, geologists, board, advisors, and JV partners. You may not resell, publicly redistribute, or use our Outputs or methodology to create competing services without prior written consent.

Your Data & Custom Models

You retain ownership of your Client Data. We use it only to deliver the Services for your job — it is never folded into, or used to train, models we provide to anyone else. Where we build a Custom ML model on your ground as part of an Engagement, that model is provided to you to keep, on the terms set out in your quote or statement of work. Our pre-existing methodology, national datasets, and tooling remain ours.

8. Disclaimers and Limitations

Disclaimer of Warranties

To the maximum extent permitted by law, the Platform, Services, and Outputs are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to:

  • — Implied warranties of merchantability or fitness for a particular purpose
  • — Warranties that the Platform will be uninterrupted, error-free, or free of harmful components
  • — Warranties regarding the accuracy, completeness, or currency of geoscience data or prospectivity analysis
  • — Warranties that our Outputs will identify all prospective ground or predict the presence, economics, or absence of mineralisation

Limitation of Liability

To the maximum extent permitted by Australian law:

  • — We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business or exploration opportunities, or goodwill
  • — Our total aggregate liability for all claims arising from or relating to the Services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim
  • — We are not liable for exploration, drilling, investment, or commercial decisions made on the basis of our Outputs, or for any dry holes, costs, or losses arising from them
  • — We are not liable for losses arising from changes to source datasets that occur after our data was last updated

Consumer Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

9. Additional Terms

a. Confidentiality

We treat your Client Data, Outputs, area-of-interest queries, and account data as confidential. We will not disclose them to third parties except: (i) with your explicit consent, (ii) to our service providers under confidentiality obligations and only as needed to operate the Services, (iii) when required by law or valid legal process, or (iv) in anonymised, aggregated form that cannot be attributed to you.

b. Indemnification

You agree to indemnify, defend, and hold harmless QuestFeed Pty Ltd, its officers, directors, and employees from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (i) your violation of these Terms, (ii) your misrepresentation of MineDSS Outputs as a resource or reserve estimate or as a discovery, or (iii) your use of the Services or Outputs in violation of applicable law.

c. Termination

We may suspend or terminate your access immediately and without prior notice if you: breach these Terms, engage in fraudulent or unlawful activity, or abuse the Platform. Upon termination, your right to use the Platform and Outputs ceases (except where an Engagement licence expressly survives). We may retain your data as required by law or our data retention policy.

d. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, government actions, internet outages, or third-party service failures.

e. Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and the Federal Court of Australia for any disputes arising from these Terms.

f. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and any applicable quote or statement of work, constitute the entire agreement between you and QuestFeed regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
